  1. DEFINITIONS AND INTERPRETATION

1.1 In these Terms and Conditions, the following definitions apply:

  • “Contractor” means M/s Bhattacharjee Construction, a Government Electrical Contractor & Order Supplier.
  • “Client” means the party engaging the services of the Contractor.
  • “Project” means the specific electrical contracting and supply work undertaken by the Contractor.
    1.2 These Terms and Conditions shall be interpreted in accordance with the laws of India.
  1. SCOPE OF WORK

2.1 The Contractor shall perform the electrical contracting and supply work as specified in the project agreement, including but not limited to:

  • Installation, testing, and commissioning of electrical systems
  • Supply of electrical materials and equipment
  • Providing warranty and maintenance services
    2.2 The Contractor shall ensure that all work is carried out in accordance with applicable laws, regulations, and industry standards.
  1. PAYMENT TERMS

3.1 Payment shall be made as per the agreed-upon schedule and terms, which may include:

  • Advance payment
  • Progress payments
  • Final payment upon completion
    3.2 The Client shall pay the Contractor the agreed-upon rates for the work completed, without any deductions or set-offs.
  1. DELIVERY AND COMPLETION

4.1 The Contractor shall deliver the materials and complete the work within the specified timeframe, which may include:

  • Project schedule
  • Completion deadline
  • Milestones and timelines
    4.2 Any delays or extensions of time shall be mutually agreed upon in writing, and the Contractor shall provide a revised project schedule.
  1. QUALITY AND WARRANTY

5.1 The Contractor shall ensure that all materials supplied are of good quality and meet the required standards, including:

  • Compliance with industry standards and regulations
  • Use of genuine and high-quality materials
  • Workmanship and installation standards
    5.2 The Contractor shall provide a warranty for the work and materials as specified in the project agreement, which may include:
  • Duration of warranty
  • Coverage of defects and faults
  • Response time and resolution procedures
  1. LIABILITY AND INDEMNITY

6.1 The Contractor shall be liable for any damages or losses caused to the Client or third parties due to negligence or breach of contract, including:

  • Direct and indirect damages
  • Losses due to delay or non-completion
  • Third-party claims and liabilities
    6.2 The Contractor shall indemnify the Client against any claims, demands, or actions arising out of the project, including:
  • Intellectual property infringement
  • Personal injury or property damage
  • Breach of contract or negligence
  1. TERMINATION

7.1 Either party may terminate the contract upon written notice in case of breach or non-performance by the other party, including:

  • Failure to pay or perform obligations
  • Breach of contract or terms and conditions
  • Insolvency or bankruptcy
    7.2 Upon termination, the Contractor shall:
  • Return all Client property and materials
  • Complete any outstanding work
  • Provide documentation and records
  1. DISPUTE RESOLUTION

8.1 Any disputes or differences arising out of the contract shall be resolved through mutual negotiation and consultation.
8.2 If necessary, disputes shall be referred to arbitration in accordance with applicable laws, including:

  • Appointment of arbitrator(s)
  • Conduct of arbitration proceedings
  • Award and enforcement
  1. GOVERNING LAW AND JURISDICTION

9.1 The contract shall be governed by and construed in accordance with the laws of India.
9.2 Any disputes or claims arising out of the contract shall be subject to the jurisdiction of the courts in [State/Country].

  1. ENTIRE AGREEMENT

10.1 The contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements.

By engaging the services of M/s Bhattacharjee Construction, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
